Terms of Service

1. Parties

This Service Agreement ("Agreement") is entered into between PotenSolution (ABN: 22 542 663 517), a business operating in Queensland, Australia ("Service Provider"), and the Client ("Business Owner" or "Client").

2. Scope of Service

PotenSolution provides AI-powered voice agent services that:

  • Answer missed calls 24/7 using artificial intelligence
  • Automatically book appointments into your calendar (Google Calendar, Outlook, GHL, etc.)
  • Enrich your CRM with customer information in real-time
  • Provide call transcripts and analytics via a secure dashboard
  • Support multi-language interactions

The Service is provided on an "as-is" and "as-available" basis.

3. Nature of AI Service & Limitations

Important Disclaimer

The Client acknowledges that the Services utilize Artificial Intelligence (AI) technology. While PotenSolution strives for high accuracy, the AI may occasionally produce incorrect information, misunderstand customer intent, or experience technical latencies. The Service is provided on an "as-is" and "as-available" basis without guarantees of uninterrupted service or perfect accuracy.

PotenSolution does not warrant that the AI will be error-free, that all bookings will be 100% accurate, or that the system will never experience downtime. The Client is responsible for reviewing AI interactions and correcting any errors.

4. Client Responsibility & Monitoring

The Client is responsible for:

  • Monitoring AI interactions and call logs regularly
  • Ensuring that all automated bookings and data entries are accurate
  • Reviewing and correcting any errors promptly via the PotenSolution dashboard
  • Maintaining accurate business information and availability in the system
  • Handling any disputes arising between the Client and their customers
  • Ensuring compliance with local business regulations and consumer protection laws

PotenSolution is not responsible for disputes arising between the Client and their customers.

5. Privacy & Call Recording Consent

Compliance Requirement

The Client warrants that they have obtained all necessary consents from their end-users (customers) for the recording and processing of voice data by PotenSolution's AI system. The Client is responsible for ensuring that all callers are informed that their call will be recorded.

PotenSolution implements a mandatory automated disclosure at the start of every call to ensure full compliance with Australian surveillance and privacy laws, including the Privacy Act 1988 and state-specific recording laws.

6. Data Ownership & Access

You own 100% of your customer data and call transcripts. PotenSolution provides the tools; you keep the assets.

  • All customer information, call recordings, and transcripts are your property
  • You can export, download, or delete your data anytime
  • Upon cancellation, we will provide a complete data export within 48 hours
  • PotenSolution does not use your data for any purpose other than providing the Service

7. Limitation of Liability

Important Legal Notice

To the maximum extent permitted by law, PotenSolution shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, missed business opportunities, loss of revenue, data loss, or business interruption arising from the use of the AI Voice Agent, even if PotenSolution has been advised of the possibility of such damages.

In no event shall PotenSolution's total liability exceed the fees paid by the Client in the 12 months preceding the claim.

8. Fees & Billing

  • Setup Fee: $0 (No setup fee for standard integration)
  • Monthly Subscription: Starting from $299/month (varies by plan)
  • Billing Cycle: Monthly, charged on the same date each month
  • Payment Terms: Due within 7 days of invoice
  • Late Payment: Subject to 10% per annum interest

9. Termination

  • No Long-term Contract: Month-to-month billing with no lock-in period
  • Termination Notice: Either party may terminate with 30 days' written notice
  • Immediate Termination: Available for material breach by either party
  • Data Export: Upon termination, all your data will be exported within 48 hours
  • Final Charges: Any outstanding fees are due upon termination

10. Service Level Agreement (SLA)

  • Uptime Guarantee: 99.9% uptime (excludes scheduled maintenance)
  • Support: 24/7 email and chat support
  • Response Time: Critical issues addressed within 1 hour
  • Scheduled Maintenance: Announced 48 hours in advance

11. Governing Law & Jurisdiction

This Agreement is governed by the laws of Queensland, Australia. Both parties agree to submit to the exclusive jurisdiction of the courts of Queensland for any disputes arising from this Agreement.

12. Changes to Terms

PotenSolution reserves the right to modify these Terms at any time. Changes will be effective 30 days after notification. Continued use of the Service constitutes acceptance of the updated Terms.
